I would define business ethics as the proper way operate in a business. The way that the business needs to be run needs to be in accordance with the law. The business needs needs to have a mission and vision statement. The policy statements should be followed by the employees as well as the management.

Law vs culture
I agree with your definitions, Jessica. What I would add is that the letter of the law is usually behind behaviour, so it is the spirit behind the law that should permeate the culture of the business. Enron was run according to the law but still exploded in spectacular style. That, incidentally, is the subject of a major case study available here: Enron Case Study.
